Retention of title, extended retention of title

  1. Delivered goods shall remain the property of Micro Pro until full settlement of all outstanding debts arising from an ongoing business relationship.
  2. If the customer’s conduct is in violation of the contract, in particular where they are in default of payment, Micro Pro shall be entitled to take back the delivered goods. After taking back the goods, Micro Pro shall be authorised to dispose of them and the proceeds from the disposal shall be offset against the customer’s liabilities – minus any reasonable disposal costs.
  3. The customer is entitled to resell the delivered goods in the ordinary course of business; however, they shall assign to Micro Pro as of now all receivables arising from the resale which are owed by their purchasers or third parties. Micro Pro hereby accept such assignment. The assignment shall be carried out irrespective of whether the delivered goods have been resold without or after further processing. The customer shall remain authorised to collect the assigned receivables even after assignment. Micro Pro’s authority to collect the receivables ourselves shall remain unaffected by this.
  4. If the customer does not comply with their payment obligations to Micro Pro, they shall be in default of payment, if an application to open insolvency proceedings regarding their assets is filed or if they cease making payments, the customer undertakes, at Micro Pro’s request, to notify Micro Pro immediately of the assigned receivables and the respective debtors, to provide all information required for collection, to hand over the associated documents and to inform the debtors of the assignment.
  5. In the event of attachments or any other interventions by third parties, the customer must immediately notify Micro Pro in writing so that Micro Pro can assert its rights.
  6. Goods purchased from Micro Pro shall always be treated and processed by a customer in Micro Pro’s name and on Micro Pro’s behalf. If processing takes place together with items that do not belong to Micro Pro, this means Micro Pro acquires the co-ownership of the new article in proportion to the value of the goods supplied by Micro Pro (final invoice amount including value added tax) with respect to the other processed items (at the time of the processing). The same applies accordingly if the goods are mixed with other items that do not belong to Micro Pro.
